UARX Space's Purchase Terms

These Terms and Conditions establish the quality, management, and compliance requirements that UARX Space demands from all its external suppliers. Acceptance of any Purchase Order by the Supplier implies full and unconditional acceptance of these terms.

General Requirements and Technical Data

The Supplier commits to:

  • Complying with the technical specifications, drawings, process regulations, and work instructions provided in the purchase order or its annexes.
  • Ensuring that its processes, equipment, and personnel possess the necessary competence and capabilities to execute the service or product in accordance with aerospace quality requirements.
  • Notifying any changes in design, processes, equipment, or subcontractors prior to their implementation in order to obtain prior approval from UARX Space.

Quality Management and Non-Conformities

  • NC Management: The Supplier is obligated to notify UARX Space immediately of any non-conforming product or service. Any disposition proposal requires prior formal written approval from UARX Space.
  • Right of Access: The Supplier grants UARX Space or its customer the right of access to its facilities for verification or validation activities that UARX Space, or its customer, intend to carry out at the supplier's premises.
  • Statistical Techniques: When statistical techniques are used for product acceptance, they must be validated and approved by UARX Space.

Supply Chain and Counterfeit Prevention

  • Flowdown of Requirements: The Supplier is responsible for flowing down all quality and regulatory requirements to its direct suppliers, ensuring complete traceability throughout the entire supply chain.
  • Counterfeit Parts Prevention: The Supplier shall implement strict controls to guarantee that only authentic and new parts are supplied, sourced from original manufacturers or authorized distributors. The use of components of unknown origin or suspected counterfeit is prohibited.

Ethics, Safety, and Awareness

The Supplier ensures that its personnel are aware of:

  • Their direct contribution to product/service conformity and safety.
  • The importance of ethical behavior in the performance of their duties.
  • Their crucial role in delivering safe products for aerospace applications.

Documented Information and Records

  • The Supplier shall maintain quality records associated with the product or service (including certificates of conformity, test reports, inspections, etc.) for a minimum period of 3 years or as stipulated by contract.
  • Upon request by UARX Space, the Supplier shall deliver test specimens, production records, or any other technical information required for inspection, verification, design audits, or quality investigations.

Performance Monitoring

UARX Space will periodically monitor the Supplier's performance (quality, delivery, responsiveness). Repeated non-compliance with these terms may lead to the temporary suspension or withdrawal of supplier qualification, without prejudice to any corresponding legal actions.
